Terms and conditions that govern your Loopy Loyalty subscription

  • We provide the Service "as is" and limit our liability given the low-cost, self-service nature of the platform.

TERMS OF SUBSCRIPTION SERVICE

Loopy Loyalty is operated by PassKit, Inc. ("PassKit", "we", "us", or "our").

By signing up for using the Loopy Loyalty platform (the "Service"), you agree to this Agreement.

If you're entering into this Agreement on behalf of a business, you confirm you have authority to bind that business.

This Agreement replaces all previous agreements regarding the Service.

1. What Loopy Loyalty Is

Loopy Loyalty is a cloud-based, self-service platform for creating, managing and distributing digital stamp cards (“Passes”) to your customers (“End Users”).

You manage your account, billing, and subscription directly through the online Loopy Loyalty Dashboard.

2. Your Account

2.1. Registering Your Account

You must provide accurate information when creating your account and keep it updated.

2.2. Keeping Your Account Secure

You are responsible for:

  • protecting your login credentials,

  • all activity under your account, and

  • notifying us promptly if you suspect unauthorized access.

2.3. Your Responsibilities

You agree to:

  • follow these Terms, our Acceptable Use Policy, the Documentation, and all applicable laws;

  • upload only Customer Data you have the legal right to use;

  • provide End Users with required notices and obtain any required consents;

  • comply with data protection laws;

  • ensure the Customer Data you submit is accurate and lawful.

Where required by law, the Data Processing Addendum (DPA) applies.

3. Things You Must Not Do

You agree NOT to:

  • share your account outside your business,

  • resell or sublicense the Service,

  • use the Service to build or enhance a competing product,

  • upload or transmit malware or harmful code,

  • attempt to bypass security measures,

  • interfere with the Service's operation, or

  • submit any Prohibited Data (such as passwords, bank account numbers, medical information, government IDs, or special-category personal data).

If you violate these Terms or your use jeopardizes the Service or its users, we may suspend or terminate your access immediately.

4. Integrations with Third Party Services

If you connect a Third Party Application:

  • you give us permission to exchange data with that service,

  • you are responsible for ensuring the integration is lawful and permitted, and

  • we are not responsible for that service or how it handles your data.

5. Subscription, Fees, and Payment

5.1. Upfront Billing

You pay for your subscription upfront, either monthly or annually.

5.2. Auto-Renewal

Your subscription renews automatically unless you cancel in your Dashboard.

5.3. Taxes

All fees exclude taxes. When applicable, you are responsible for any taxes that may apply.

5.4. Failed Payments

If your payment fails or your card details are outdated, we may suspend or terminate your access.

5.5. No Refunds

All payments are final and non-refundable, including:

  • partial use of the Service,

  • cancellation before the end of the billing period,

  • failure to use the Service,

  • plan changes mid-period.

6. Ownership and Intellectual Property

6.1. Our Ownership

PassKit owns the Loopy Loyalty platform, including the software, APIs, designs, text, and trademarks.

6.2. Your Licence to Use the Service

During your subscription, you receive a limited, non-transferable right to use the Service in accordance with these Terms.

6.3. Your Ownership of Data

You own all Customer Data and all Passes you create. You grant us permission to use Customer Data only as needed to provide the Service.

6.4. Feedback

If you provide suggestions or feedback, we may use them freely without obligation.

7. Aggregated and Anonymous Data

We may use anonymized, aggregated data from your use of the Service to:

  • improve Loopy Loyalty,

  • develop new features,

  • analyze platform performance, and

  • create benchmark insights.

We will never use this data to identify you or your End Users.

8. Privacy and Security

We take reasonable steps to protect Customer Data and maintain secure systems.However, no online service can guarantee complete security.

You are responsible for securing your own devices, networks, and account settings.

Where required, the DPA governs our processing of personal data.

9. Cancellation and Termination

9.1. How You Can Cancel

You may cancel your subscription at any time through the Loopy Loyalty Dashboard. Your cancellation will take effect at the end of your current billing period.

9.2. How We May Cancel

We may cancel your subscription effective at the end of the current billing period by providing notice.

9.3. Immediate Suspension or Termination

We may suspend or end your access immediately if:

  • you don't pay on time,

  • you breach these Terms or the Acceptable Use Policy,

  • your use risks harm to the Service or others,

  • you engage in unlawful activity.

9.4. After Termination

When your subscription ends:

  • you lose access to the Service,

  • any outstanding fees remain due,

  • no refunds are provided for unused time, and

  • sections of these Terms that should reasonably survive termination will continue.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available".

We do not guarantee:

  • uninterrupted service,

  • error-free operation,

  • compatibility with all devices or systems.

These limitations are standard for low-cost, self-serve software.

11. Limitation of Liability

To the maximum extent permitted by law:

  • our total liability to you is limited to USD $1,000, and

  • we are not liable for indirect, incidental, consequential, or special damages, including lost profits, revenue, business interruption, or data loss.

These limitations reflect the nature of the Service.

12. Indemnification

You agree to indemnify and hold PassKit harmless from claims arising out of:

  • your use of the Service,

  • your Customer Data,

  • your breach of these Terms or applicable laws,

  • your use of third-party integrations.

We will indemnify you for third-party claims alleging that the Service (as we provide it) infringes their intellectual property rights.

13. Confidentiality

Both parties must protect the other party’s confidential information and use it only as permitted under this Agreement.

These confidentiality obligations last for five (5) years after termination (trade secrets indefinitely).

14. Changes to the Service or These Terms

We may update or improve the Service from time to time.

We may also update these Terms. If a change is significant, we will notify you (for example, by email or an in-app notice). Continuing to use the Service after the changes means you accept the updated Terms.

15. Other Legal Terms

  • This Agreement is governed by the laws of Delaware, USA.

  • Any disputes must be resolved in the courts located in Delaware.

  • Neither party is responsible for delays caused by events beyond reasonable control (force majeure).

  • You may not assign these Terms without our permission; we may assign them if we merge or restructure.

  • If any part of these Terms is invalid, the rest remains in effect.

  • These Terms, the DPA, Acceptable Use Policy, and plan details in your Dashboard make up the entire agreement.

  • A failure to enforce any right does not waive it.
